Notice on conversion into a limited liability company

Dear Sirs/Madams,

Please be hereby informed that on 01.03.2022 there was an entry made into the Entrepreneurs Register of the National Court Register (Regional Court in Koszalin IX Commercial Department of KRS) on the conversion of  Optimal  MW  Limited Liability Company Limited Partnership:

into a limited liability company under the firm:

Optimal spółka z ograniczoną odpowiedzialnością
Address: ul. Bolesława Krzywoustego 93, 78-100 Kołobrzeg (no changes)
NIP [VAT ID NO.]: 6711831951 (no changes)
REGON [National Business Registry Number]: 380386172 (no changes)

Short name: Optimal  sp. z o.o.

I hereby explain that the conversion took place under Art. 551- 570 and Art. 575-576 of the Commercial Companies Code (CCC), and therefore, the company converted into has all the rights and obligations of the company subject to conversion (including those resulting from concluded contracts). Under Art. 552 of CCC, the company subject to conversion has become the company converted into upon the entry in the register (the conversion date), thus 01.03.2022.

Therefore, there is no change in the civil and legal relationships with the contractors, but, by law, company Optimal  sp. z o.o. becomes a party in those relations.

The contracts binding between us will be continued on the previous conditions.

There is neither a legal obligation, nor an actual need to adjust the agreements, however, should you expect to adapt the agreements to the current entity structure – please forward a short information/request, and we will prepare an appropriate annex to the agreement.

In connection with the conversion, all correspondence and documents relating to the running cooperation should be addressed to company Optimal sp. z o.o. (address unchanged).

The banking accounts remain unchanged.
